1. Acceptance of Terms
By creating an account or using Oira (“the Service”), you agree to these Terms of Service and our Privacy Policy. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. Eligibility
Oira is intended for licensed healthcare professionals and their authorized staff. You must hold any licenses required to deliver care in your jurisdiction and remain responsible for compliance with your professional obligations.
3. The Service
Oira listens to clinical conversations (with patient consent obtained by you), drafts clinical documentation, suggests coding, and helps you finalize notes. Oira is a documentation assistant: it does not diagnose, treat, or make clinical decisions.
4. Clinical Responsibility
You are solely responsible for reviewing and verifying all output before it enters a patient record. Drafted notes, codes, and summaries are suggestions that require your professional judgment and approval.
5. Acceptable Use
- Use the Service only for lawful clinical documentation purposes.
- Obtain all required consents before recording any encounter.
- Do not attempt to reverse engineer, resell, or misuse the Service.
- Do not upload content you lack the rights or authorizations to process.
6. PHI & Business Associate Agreement
When required by law, we enter into a Business Associate Agreement (BAA) with covered entities. The handling of PHI is described in our HIPAA & Security page.
7. Intellectual Property
You retain all rights to your patients' records and the documentation you produce. We retain all rights to the Oira platform, software, models, and brand.
8. Disclaimers & Limitation of Liability
The Service is provided “as is” without warranties of any kind except as stated in a signed agreement. To the maximum extent permitted by law, Oira shall not be liable for indirect, incidental, or consequential damages arising from your use of the Service.
9. Termination
You may stop using the Service at any time. We may suspend or terminate accounts that violate these Terms or applicable law, with notice where practicable.
10. Governing Law & Changes
These Terms are governed by the laws of Costa Rica, without regard to conflict-of-law rules. We may update these Terms from time to time; material changes will be communicated in advance through the Service or by email.
